Scope of Company Secretarial Service (Basic)

a. Appointment of a qualified person as company secretary;

b. Electronic maintenance of the company's statutory records online;

c. Preparation of minutes, resolutions and other necessary documents for board meetings and Annual General Meetings (AGMs) (limited to six documents per year; additional documents are charged as Additional Services); and

d. Advisory on company secretarial matters.

Scope of Nominee Company Secretary Service

The nominee company secretary service is not provided separately and covers only items a, b and d of the basic service above.

Additional Services

Other non-routine company secretarial work is charged per event unless otherwise agreed in writing, including but not limited to:

a. ACRA annual filing ($120/event, including the ACRA fee of $60)

b. Statutory documents, meeting preparation and ACRA filings (if applicable) not covered by item c of the basic service, e.g.:

($40/event) change of shareholders, directors or company secretary; change of auditor; change of registered address; change of company name; update of paid-up capital; purchase of ACRA business profile; extension of AGM or annual filing deadline;

(From $60/event) change of share capital, including share transfer, allotment or reduction; general meetings; attending company meetings; assistance with embassy certification; change of financial year; other services not listed.

c. Chinese translation of the company constitution ($500/time)

d. English-to-Chinese translation of board or shareholder resolutions (from $40/document)

Registered Office Address Service

Our address serves only as the company's registered office address with ACRA, for incorporation, annual filings, keeping statutory registers and records (if applicable) and receiving company mail. We open the mail and notify the company of company-related mail by photo or scan. Forwarding original mail to a designated address costs SGD 40 per dispatch, plus postage. The address may not be used as any individual's contact address, and we do not receive personal mail.

Other Notes

Unless otherwise stated, the above fees exclude third-party and out-of-pocket expenses, including but not limited to ACRA fees, taxes, postage and overtime charges.
