Singapore's Companies Act does not require all companies to undergo annual audits. "Small companies/small groups" (Section 205C and the Thirteenth Schedule) and "dormant companies" (Section 205B, Section 201A) that meet certain criteria may be exempted from auditing. Under specific conditions, dormant companies may even be exempted from preparing financial statements. However, determining eligibility for these exemptions is not straightforward: different testing rules apply in the first year, second year, and third and subsequent years of a company's existence, and both the qualification and loss of eligibility are determined based on "two consecutive financial years". For companies within a group, the group must also satisfy the relevant group-level test on a consolidated basis.
