The British Virgin Islands (BVI) is one of the offshore jurisdictions most commonly used for international investment, cross-border holdings, group structures and asset holding. BVI companies are known for flexible structures, relatively simple maintenance and no exchange controls. However, as international tax transparency, economic substance, beneficial ownership, CRS and FATCA rules have developed, a BVI company no longer means "register and forget". This article summarises the questions most often asked about setting up and using BVI companies (last updated: 13 September 2026) for quick reference.

FAQs:
Q: What is a BVI company?
A: The BVI is one of the world's leading offshore company jurisdictions, known for simple incorporation, low maintenance costs, tax neutrality and strong shareholder confidentiality. BVI companies are often used for overseas investment structures, holding platforms, cross-border trading entities and, together with Cayman companies, red-chip listing structures. They are registered and regulated by the Registrar of Corporate Affairs under the BVI Financial Services Commission (FSC), pursuant to the BVI Business Companies Act, 2004.
Q: When is a BVI company typically used?
A: Common uses include overseas investment and group holdings, cross-border M&A and restructuring, special purpose vehicles (SPVs) in pre-IPO or financing structures, holding entities in fund and investment structures, and holding family or investment assets. Whether a BVI company is suitable should be assessed together with where the business ultimately operates, the shareholders' tax residency, fund flows, bank account opening and future exit plans.
Q: What is EStar's incorporation process?
A: EStar offers a remote, one-stop service with dedicated staff. Once documents are collected online, the company can be registered through our partner BVI registered agent in as little as a few working days. The process generally includes: document review → company name search → online video verification of directors/shareholders → registration application through the BVI registered agent → receipt of the certificate of incorporation → signing and filing of post-incorporation compliance documents. If you have any further questions, please contact us anytime.
Q: How does EStar's online application work?
A: The above services are available online, and we communicate with your team by email and common messaging apps.
Q: What documents are needed to set up a BVI company?
A: The documents generally required are:
– Proposed company name
– List of shareholders and directors (no local shareholder/director requirement)
– Scanned original ID documents of directors/shareholders (individuals)
– Scanned original proof of address of directors/shareholders (individuals), e.g. utility bills
– Scanned original business registration of corporate shareholders
– Scanned original proof of the company's registered address
– Shareholding structure chart of the new company
– For corporate shareholders, scanned original business registration of the ultimate beneficial owners
– Explanation of source of funds and source of wealth
Our team will contact you if further documents are needed.
Q: How confidential is a BVI company? Are shareholder and director details public?
A: The register of directors is filed with the BVI Registry but is not open to public inspection, and the register of members does not need to be filed publicly. Overall confidentiality is high, but beneficial ownership information must still be reported to the registered agent under local rules (not public).
Q: Does a BVI company need to keep accounts or file financial statements every year?
A: Audited financial statements and an annual general meeting are not mandatory, but the company must keep accounting records that reflect its financial position, and complete the annual return and annual economic substance filing within the prescribed period after its financial year end. These filings involve submitting financial data, but they are not the same as making financial statements public.
Q: Does a BVI company need annual return filing every year?
A: Yes. A company that fails to complete its annual maintenance may incur penalties and, in serious cases, be struck off or lose its good standing.
Q: Does a BVI company pay tax?
A: The BVI imposes no tax on foreign-sourced income (no corporate income tax, capital gains tax or inheritance tax); only a fixed annual government fee is payable. Income from business in the BVI needs a separate assessment.
Q: Is it easy for a BVI company to open a bank account?
A: In recent years, some banks have made it harder for pure offshore shell companies (especially those with no actual business or related entities) to open accounts. We recommend assessing the intended use of funds early and whether to use the BVI company alongside accounts of operating companies in places such as Singapore or Malaysia.
Q: Is remote electronic signing legal for a BVI company, and how is it done?
A: The BVI allows remote electronic signing. The Electronic Transactions Act, 2001 (as amended and updated by the Electronic Transactions Act, 2021) provides a legal framework for electronic communications and transactions, and information is generally not denied legal effect or validity because it is in electronic form. Directors' and shareholders' resolutions can be passed as written resolutions and signed or consented to by electronic written communication, and underhand agreements can also be signed electronically. Exceptions apply: the Act does not cover certain documents with special execution requirements (such as wills, contracts transferring interests in real or personal property, powers of attorney and deeds), which still need a traditional wet-ink signature. Electronic signatures are also only effective for a BVI company if its Memorandum & Articles do not restrict their use.
