[Q] Existing VCC in Singapore FAQs(图1)

Once a Singapore Variable Capital Company (VCC) is set up, it enters ongoing compliance. Unlike an ordinary Singapore company, a VCC is subject to three layers of rules: the VCC Act, ACRA's corporate regulatory framework and MAS fund regulation. This article summarises the questions most often asked about running a VCC in Singapore (last updated: 1 September 2026) for quick reference.

Q: What are the basic ongoing compliance obligations of an existing Singapore VCC?

✓ Keep accurate accounts under local and VCC requirements, and calculate NAV under the PPM terms

✓ Prepare financial statements for the fund and each sub-fund under local and VCC requirements (at least once a year)

✓ Appoint an external auditor to audit the annual financial statements of the fund and each sub-fund

- Tax:

✓ Compute and file VCC income tax, including Estimated Chargeable Income (once a year) and the annual income tax return (once a year)

Q: Does a VCC need to prepare XBRL?

A: No. ACRA has a specific arrangement for VCC annual filing: the financial statements of the VCC and its sub-funds are submitted in PDF (together with the directors' statement and auditor's report, along with the AGM documents). The XBRL requirements for ordinary Singapore companies do not apply.

Q: How soon must changes, such as to directors or the registered address, be filed with ACRA?

A: Generally, changes to VCC information (such as directors, auditors or registered address) must be updated with ACRA through the VCC Portal within 14 days, or penalties apply. Note that a change of sub-fund name must be filed within 1 business day.

Q: Is a VCC's member list public?

A: No. After incorporation, new subscriptions, redemptions and share transfers change the VCC's members. The VCC must update and maintain its own Register of Members, which does not need to be filed with ACRA, but government agencies can request to inspect it.

Q: What tax matters arise for an existing VCC?

A: A VCC generally deals with income tax filing, GST remission and FATCA/CRS registration and filing. For details, please see Summary of FAQs on Singapore VCC Fund Taxation.

Q: What is BEPS 2.0, and does it apply to VCCs?

A: BEPS 2.0 is an international tax reform framework led by the OECD (Organisation for Economic Co-operation and Development). It mainly targets multinational groups that shift profits to low-tax jurisdictions to pay less tax. Singapore has implemented the BEPS 2.0 Pillar Two rules from 2025 (for financial years 2025 onwards), bringing the global minimum tax into its domestic tax system. For more, please see our insight A Practical Guide to BEPS 2.0 Two-Pillar Registration.

Under the OECD GloBE rules, an investment fund that is the ultimate parent entity of a group is an excluded entity and is not subject to GloBE calculations. A VCC, as a MAS-regulated fund vehicle pooling investors' money under a defined investment policy, usually meets the definition of an investment fund. If the VCC is also the top-level entity of a group, it can be an excluded entity and BEPS 2.0 does not apply to it.

Q: What is a Data Protection Officer (DPO)?

A: A Data Protection Officer (DPO) oversees a company's data protection compliance and ensures it handles personal data in line with Singapore's Personal Data Protection Act 2012 (PDPA). If a company processes personal data in Singapore, it must comply with the PDPA and consider appointing a DPO depending on its size.

Q: Is remote electronic signing legal for a Singapore company, and how is it done?
